Visitor Agreement

All visitors of the www.robinhoodinsurance.in internet website must accept and comply with the Terms and Conditions set-forth in the agreement. Hereinafter, Robinhood Insurance Broker Private Limited, shall be referred to as 'RIBL'

1. General Provisions:
RIBL hereby grants visitors a revocable, nontransferable, nonexclusive right to use the Website solely for their use in accordance with this Visitor Agreement. The foregoing permission has been granted to Visitors subject to their agreement to abide by this visitor Agreement, as well as any other rules, procedures, policies, terms and conditions governing the Website that may be displayed from time to time on the Website and to which will be bound. The information accessible on and via the Website is the property of RIBL, and is protected by copyright and other intellectual property and proprietary rights. Without limiting the foregoing of expanding any of their rights hereunder, visitors agree that they will not publish, broadcast, retransmit, reproduce, commercially exploit, create any derivative of or otherwise disseminate such information, the Website or any portion of the Website.

2. Ownership:
The Website, its content and/or all intellectual property rights pertaining thereto (including but not limited to copyrights, patents, trademarks and service marks) are owned by RIBL, and all rights, title and interest therein and thereto shall remain the property of RIBL. Visitors agree not to remove any copyright, trademark or other proprietary notice or legend contained on the Website or its content (or printed copies thereof). RIBL and other names of RIBL products and/or services referenced herein are exclusive trademarks of RIBL. Other product and company names and trademarks appearing in the Website are the trademarks of their respective owners. As part of their use and enjoyment of the Website, Visitors may from time to time upload or post commentary, data, information and the content (the "Posted Content"). Visitors hereby grant RIBL an irrevocable, nonexclusive, transferable, sub licensable right to use the Posted Content, with or without other elements, and without or without attribution to Visitors, partly or wholly, and in each and every way related to RIBL business whether now or hereafter known or practiced.

However due to the nature of internet environment, email facility is at the discretion of the website, but every effort will be made for continued provision. Overall, RIBL cannot guarantee the reliability and consistency of the email services, as these services are dependent on many hardware and software issues, over which RIBL has totally no control

5. Indemnity
The Visitors agree to indemnify, defend and hold harmless RIBL and its affiliates from and against any and all suits, losses, claims, demands, liabilities, damages, costs and expenses (including reasonable attorney's fees) arising from or relating to …
(i) their use of the Website;
(ii) their breach of this Visitor Agreement or any representations, warranties or covenants made by them herein; or
(iii) their violation of any applicable law, statute, ordinance, regulation or any third party's rights.
This obligation survives the termination of this Visitor Agreement.

6. Joint Venture
Nothing in this Visitor Agreement shall constitute or create a joint venture, partnership, or any other similar arrangement between the Visitors and RIBL. Neither party is authorized to act as agent or bind the other party except as expressly stated in this Visitor Agreement.

7. Disclaimer of Warranties:
The Website and all information available on or via the website is provided "As is" and "As available", "without warranty of any kind, either expressed or implied, including without limitation:

i. any warranties concerning the availability, accuracy, completeness, timeliness or sequencing of the website or the information, products or services available on or via the website; and

ii. any warranties of the title or expressed or implied warranties of merchantability, fitness for a particular purpose, of non-infringement of intellectual property and proprietary rights. This disclaimer of liability applies to any damage or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft, destruction or unauthorized access to, alteration of, or use of any asset, whether for breach of contract, tortuious behaviour, negligence or under any other cause of action.

8. Limitation of Liability
In no event shall RIBL or any of its affiliates be liable for any indirect, incidental special, punitive or consequential damages (including, without limitation, damages for loss of data, business or profits) arising out of or in connection with this visitor agreement with the website. The inability to use the website or any advertising or products, services, or information purchased, obtained or stored in or from the website, or transactions entered into via the website, whether based on contract, tort, strict liability or otherwise, even if RIBL or any of its affiliates has been advised of the possibility of such damages and notwithstanding the failure of the essential purpose of any remedy. In no event shall the liability of RIBL or of any RIBL affiliate in any circumstance exceed Rs.100. Without limiting the foregoing provisions of this paragraph, these limitations apply to any third party claims against visitors.

10. Ownership Rights
Unless otherwise expressly stated, nothing in this agreement shall create or confer any rights or any other benefits whether pursuant to the Contracts (Rights of Third Parties) Act, 1999 or otherwise in favour of any person other than RIBL and the Visitor. Any rights not expressly granted herein are reserved.

11. Password Security
The visitors are expected to maintain the confidentiality of their membership-login name and password - and will be responsible for all activities under this account. The Visitors are entirely responsible to maintain the confidentiality of their password and account. Furthermore, the visitors are entirely responsible for any and all activities, which occur, under their account. Visitors agree to immediately notify RIBL of any unauthorized use of their account or any other breach of security.

12. Links to other Websites
The Website may contain links to third party web websites that are maintained by others. These links are provided solely as a convenience to visitors and not as an endorsement by RIBL of the contents on such third-party web websites. RIBL is not responsible for the availability of such external websites or resources and does not endorse and is not responsible or liable for any content, advertising, products or other materials on or available on linked third-party web websites. If visitors decide to access linked third-party web websites, they do so at their own risk. Visitors further acknowledge and agree that RIBL shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such website or resource.

13. Modifications
RIBL may modify the terms of this Visitor Agreement or any of the policies or guidelines governing the Website, at any time and in its sole discretion, by posting the modified Visitor Agreement on the Website. The modifications shall be effective upon such posting (unless some other date is specified in the posting, in which case that date shall be deemed the effective date for the modifications. Visitors agree to view this Visitor Agreement periodically so that they are aware of any modifications. Visitors’ use of the Website indicates their full acceptance of the Visitor Agreement in its then-current form each time they use the Website. Visitors agree that the notice provisions provided in this Visitor Agreement are reasonable. Visitors may not modify the terms of this Visitor Agreement or any of the policies or guidelines governing the Website without RIBL express prior written consent.

14. Force majeure
RIBL will attempt to provide constant, uninterrupted access to the Website. However, in the event RIBL is unable to provide, or is delayed in providing access to the Visitors as a result of any event beyond the reasonable control, whether or not foreseeable and including, but not limited to acts of God, war, riot, insurrection, invasion, acts of enemy, embargoes, acts of civil or military authorities, labour strikes or shortages, governmental decree or regulation, court order, severe weather, fire floods, earthquakes, accidents, failure of suppliers, and breakdown in systems, communications or transport facilities, RIBL will not be liable for any loss or damage of any sort.

15. Laws
These terms of Service shall be governed by and construed in accordance with the laws as applicable in City of Mumbai, India.

16. Disputes
RIBL will not be involved in resolving any disputes between Members of the website related to or arising out of any transaction. RIBL urges Members to cooperate with each other to resolve such disputes. In the event of any dispute arising between Visitors and RIBL concerning the contents and use of the website, the same will be resolved by submitting the dispute to Arbitration by a Sole Arbitrator to be appointed by RIBL and the decision of such Arbitrator shall be final and binding upon the parties. The Arbitration shall be conducted in accordance with the Indian Arbitration & Conciliation Act, 1996 or its statutory amendments or re-enactments. For all matters arising out of this Agreement only the Courts in the City of Chennai, India, shall have exclusive jurisdiction.

17. Severability
If any provision of the Agreement shall be deemed unlawful, void or for any reason, unenforceable, then that provision shall be deemed severable from these terms and conditions and shall not affect the validity and enforceability of any remaining provisions.
